邵春陽(yáng)先生自 2024 年 5 月起擔(dān)任本公司獨(dú)立董事。邵先生是君合律師事務(wù)所資深合伙人，其專(zhuān)業(yè)領(lǐng)域涵蓋企業(yè)法務(wù)、外資事務(wù)、房地產(chǎn)、并購(gòu)（M&A）、證券、基礎(chǔ)設(shè)施及項(xiàng)目融資等。邵先生于 2002 年 4 月加入君合律師事務(wù)所，長(zhǎng)期為各類(lèi)跨國(guó)公司和投資基金提供在中國(guó)投資與并購(gòu)事務(wù)的法律支持，并作為發(fā)行人或承銷(xiāo)商的中國(guó)法律顧問(wèn)，參與多家國(guó)內(nèi)外大型企業(yè)集團(tuán)和高增長(zhǎng)型企業(yè)境內(nèi)外股份發(fā)行、上市及債券發(fā)行項(xiàng)目。

在此之前，邵先生于 1995 年至 2001 年在多家國(guó)際知名律師事務(wù)所的倫敦、香港及中國(guó)內(nèi)地辦事處任職，包括 Simmons & Simmons（任中國(guó)法律顧問(wèn)）和 Sidley Austin（任資深中國(guó)法律顧問(wèn)）。期間，他廣泛參與外國(guó)直接投資、證券發(fā)行及上市事務(wù)（包括 B 股、H 股及紅籌股在境內(nèi)外、香港、倫敦和美國(guó)證券交易所的上市）、風(fēng)險(xiǎn)投資、項(xiàng)目融資及房地產(chǎn)相關(guān)業(yè)務(wù)，為眾多知名跨國(guó)公司提供法律服務(wù)。

邵先生分別于 1987 年和 2002 年獲得華東政法大學(xué)法律學(xué)士學(xué)位和碩士學(xué)位。1993–1994 年，邵先生赴英國(guó)參加中英青年律師交流項(xiàng)目，擔(dān)任訪(fǎng)問(wèn)學(xué)者。

Independent Director

Mr. Chunyang Shao has served as our independent director since May 2024. Mr. Shao is a partner at the law firm JunHe LLP and currently practices at its Shanghai office as managing partner. Mr. Shao specializes in corporate law, foreign investment, real estate, mergers and acquisitions (“M&A”), securities, infrastructure and project finance.

Mr. Shao joined JunHe in April 2002 and has since represented various multinational corporations and investment funds in their investments and M&As in China. From 1995 to 2001, Mr. Shao worked in the London, Hong Kong and mainland China offices of major international law firms, including Simmons & Simmons (as Chinese legal counsel) and Sidley Austin (as senior legal consultant), and was involved extensively in foreign direct investment, securities (including B-share, H-share, and red chip listing on the stock exchanges in mainland China, Hong Kong, London and the U.S.), venture capital, project finance and real estate matters, representing a number of well-known multinational companies.

Mr. Shao obtained his Master degree and Bachelor degree of Laws from East China University of Political Science and Law in 2002 and 1987, respectively.
